TERMS OF SERVICE

1. GENERAL PROVISIONS
1.1. These Terms of Service (hereinafter referred to as the "Terms") constitute a legally binding agreement between PE "Klimenko Iurii" (Registration No. 264.1297939, Tax ID (INN): 72978355), located at RA, Yerevan, Kievyan str., 2, apt. 18 (hereinafter referred to as the "Provider", "we", "us"), and the user (hereinafter referred to as the "User", "you"), governing the use of the "MEMO" service via the Telegram bot @memo_am_bot (hereinafter referred to as the "Service").
1.2. By starting the bot, uploading photos, or making a payment, you fully and unconditionally accept these Terms. If you do not agree with these Terms, you must immediately stop using the Service.
2. DESCRIPTION OF SERVICE
2.1. The Service allows Users to upload static images (photographs), which are processed using artificial intelligence technologies to create short animated video files.
2.2. Each generation results in one video file with an approximate duration of 5 seconds, generated based on the uploaded photograph.
2.3. The Service is provided on an "as is" basis. The Provider does not guarantee that the result will meet the User’s subjective aesthetic expectations.
3. USER OBLIGATIONS AND RESTRICTIONS
3.1. The User agrees to use the Service solely for personal, non-commercial purposes.
3.2. The User must not:
* Upload illegal, offensive, or prohibited content;
* Violate third-party rights, including copyrights and privacy rights;
* Reverse engineer, decompile, or attempt to derive the source code of the Service;
* Use the generated videos for commercial purposes (including resale or creation of NFTs) without the Provider’s prior written consent.
4. INTELLECTUAL PROPERTY
4.1. User Content. The User retains full ownership of the original photographs uploaded to the Service. By uploading content, the User grants the Provider a worldwide, non-exclusive, royalty-free license to use such content solely for the purposes of processing, generating videos, and improving the Service and its AI algorithms.
4.2. Generated Content. Upon creation, all rights to the generated video belong to the User. The User grants the Provider a non-exclusive license to use generated videos for marketing and promotional purposes.
4.3. Service IP. All rights to the Service, including but not limited to its software, design, and AI models, are owned by the Provider.
5. PAYMENT AND REFUND POLICY
5.1. Services are paid for using the payment methods available at the time of purchase. Prices are displayed before payment confirmation.
5.2. Due to the digital and automated nature of the Service, all sales are final and non-refundable once processing has started.
5.3. A refund may be considered only in cases where the Service fails to deliver the result due to a technical fault on the Provider’s side. Refund requests must be submitted via @memo_zabota_am or by email to [egor@thesavchuk.com](mailto:egor@thesavchuk.com), together with proof of payment.
6. LIMITATION OF LIABILITY
6.1. To the maximum extent permitted by applicable law, the Provider shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the use of the Service.
6.2. The Provider is not responsible for temporary service interruptions caused by technical maintenance or force majeure events.
7. GOVERNING LAW AND DISPUTE RESOLUTION
7.1. These Terms shall be governed by and construed in accordance with the laws of the Republic of Armenia.
7.2. Any disputes arising out of or relating to these Terms shall first be resolved through pre-trial negotiations. If no resolution is reached within 30 days, the dispute shall be submitted to the competent courts of the Republic of Armenia.
